1. Acceptance of Terms

By accessing or using MerchantServices.Capital ("the Platform"), operated by MSD ("we", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Platform.

2. Eligibility

The Platform is offered to licensed brokers, agents, ISOs, merchants, and their authorized representatives. You represent that you have authority to bind the entity you act for.

3. Accounts & Access

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Acceptable Use

You will not: (a) submit false or misleading merchant data; (b) reverse engineer the Platform; (c) resell access without written consent; (d) use the Platform to violate any law, including consumer protection, TCPA, GLBA, or fair-lending rules.

5. Third-Party Integrations

The Platform integrates with third-party services (CRM, payment processors, lenders). Your use of those services is governed by their own terms. We are not responsible for third-party outages or errors.

6. Fees

Subscription and transaction fees are described in your order form or on the pricing page. Fees are non-refundable except as required by law.

7. Intellectual Property

The Platform, including software, models, and analytics, is owned by us and our licensors. You receive a limited, non-exclusive, non-transferable license to use it during your subscription.

8. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only to perform under these Terms.

9. Disclaimer

The Platform is provided "as is" without warranties of any kind. Analytics and lender recommendations are informational and do not constitute credit, legal, or tax advice.

10. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability will not exceed the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or lost-profit damages.

11. Termination

Either party may terminate for material breach not cured within 30 days of notice. Upon termination your access ends and we may delete your data after a reasonable retention period.

12. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. Venue lies in Broward County, Florida.

13. Changes

We may update these Terms; material changes will be posted here with a new "Last updated" date. Continued use constitutes acceptance.
